Vendor Terms

Welcome to FreezonBooks.

FreezonBooks is a trading name of Freezon.com Limited, a private limited company registered in England and Wales under company number 11779274.

Freezon.com Limited also operates other trading brands, including Freezon.co.uk and Potential Capture Coach. Each trading brand operates within its respective area of business under Freezon.com Limited.

These Vendor Terms (“Agreement”) govern the relationship between Freezon Books (“we,” “our,” “us”) and vendors/authors (“you,” “your”) who publish and sell digital eBooks through our platform. By registering as a vendor, you agree to comply with these terms.

1. Eligibility

You must be at least 18 years old to register as a vendor.
You must provide accurate and complete information during registration.
We reserve the right to approve or reject vendor applications at our sole discretion.

2. Vendor Responsibilities

You are responsible for the accuracy, quality, and legality of the eBooks you upload.
You must ensure that your content does not infringe on copyrights, trademarks, or other intellectual property rights.
You agree not to upload illegal, offensive, or prohibited content.
You are responsible for setting pricing within platform guidelines.

3. License to Freezon Books

By uploading your eBook, you grant Freezon Books a non-exclusive, worldwide license to display, distribute, and sell your content through our platform. You retain full ownership of your intellectual property.

4. Payments

Vendors/authors receive 80% of the sale value of their eBooks, while FreezonBooks retains a 20% platform commission, unless otherwise agreed in writing. FreezonBooks currently absorbs the payment-processing charges associated with collecting customer payments.

Authors may request withdrawal of available earnings through the payment options supported by the platform. FreezonBooks does not currently charge an additional platform withdrawal fee. However, any third-party charges associated with paying an author’s earnings, including transfer fees, currency-conversion charges, intermediary-bank fees and receiving-bank charges, are the responsibility of the author and may reduce the final amount received.

There is currently no minimum withdrawal amount. Payout timing may depend on payment clearance, verification requirements, the selected payout provider and the receiving financial institution. Authors are responsible for ensuring that their payout and bank details are accurate and up to date. Authors are also responsible for any taxes applicable to their earnings.

5. Refunds & Returns

Refunds are governed by our Refund Policy. Vendors agree to honor refund requests approved under platform rules. Since products are digital, returns are not applicable (see Return Policy).

6. Compliance

You must comply with all applicable laws, including copyright, consumer protection, and tax regulations.
Freezon Books reserves the right to remove content or suspend accounts that violate these terms.

7. Prohibited Activities

Uploading pirated, plagiarized, or unauthorized content.
Manipulating sales data or engaging in fraudulent activity.
Sharing or reselling customer data obtained through the platform.

8. Limitation of Liability

Freezon Books is not liable for any indirect, incidental, or consequential damages arising from your use of the platform. Vendors are solely responsible for their content and compliance with applicable laws.

9. Termination

We may suspend or terminate your vendor account at any time for violation of these terms.
You may terminate your account by providing written notice. Outstanding obligations will survive termination.

10. Changes to Terms

We may update these Vendor Terms from time to time. Any changes will be posted on this page with an updated effective date. Continued use of the platform constitutes acceptance of the revised terms.

11. Governing Law

These Vendor Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have jurisdiction in relation to any dispute arising from these Vendor Terms.
